Having said that, Terms and Conditions (“T&C”) are a set of legally binding terms defined by you, as the owner of this website. The T&C set forth the legal boundaries governing the activities of the website visitors, or your customers, while they visit or engage with this website. The T&C are meant to establish the legal relationship between the site visitors and you as the website owner.
T&C should be defined according to the specific needs and nature of each website. For example, a website offering products to customers in e-commerce transactions requires T&C that are different from the T&C of a website only providing information (like a blog, a landing page, and so on).

1. Overview
Welcome to Netsetu ("we," "our," "us"). These Terms & Conditions ("Terms") govern your use of our website and the services we provide, including website design, development, maintenance, and related digital services.
By accessing our website or purchasing our services, you ("Client," "you," "your") agree to be bound by these Terms. If you do not agree, please do not use our website or services.
2. Services Provided
Netsetu offers the following services:

Website hosting and maintenance

Online ordering system setup (for custom service)

Payment gateway integration (for custom service)

Delivery partner integration (for custom service)

Domain registration and management

Related digital services as agreed in the Service Agreement
Specific services, pricing, and timelines shall be detailed in a separate Service Agreement signed by both parties.
3. Eligibility
To use our services, you confirm that:

You have the legal authority to enter into a binding agreement on behalf of your business

The information you provide is accurate, complete, and current
4. Payment Terms
4.1 All prices are in Indian Rupees (INR) and exclude applicable taxes (GST @ 18%) unless stated otherwise.
4.2 A one-time setup fee is due before any work commences.
4.3 Monthly maintenance fees are due on or before the 5th of each month via recurring payment mandate.
4.4 Late payments may result in:

A late fee of 10% per month on overdue amounts

Suspension of services until payment is received

Termination of the Service Agreement
4.5 No refunds shall be issued for setup fees or monthly fees already paid.
5. Client Responsibilities
You agree to:

Provide all necessary content (text, images, logos) in a timely manner

Respond to queries and provide approvals within 5 business days

Ensure you have the legal right to use any content you provide

Not use the website for illegal activities or to infringe on others' rights
Delays caused by the Client may extend project timelines. Netsetu is not liable for delays resulting from Client inaction.
6. Intellectual Property
6.1 Upon full payment of all outstanding dues, the final website design and content created specifically for you shall become your property.
6.2 Netsetu retains ownership of any pre-existing code, templates, or third-party tools used in building your website.
6.3 You grant Netsetu the right to display your completed website in our portfolio, case studies, and marketing materials.
6.4 Third-party content (images, fonts, plugins) remains under their respective licenses. Netsetu does not transfer ownership of third-party intellectual property.
7. Website Hosting & Maintenance
7.1 Netsetu provides website hosting as part of the monthly maintenance package. Hosting is provided through third-party platforms (including but not limited to Wix).
7.2 Netsetu does not guarantee 100% uptime. The hosting provider's uptime and service levels apply.
7.3 Scheduled maintenance or emergency updates may cause temporary downtime. Netsetu will make reasonable efforts to notify Clients in advance where possible.
7.4 Netsetu is not liable for:

Data loss caused by Client actions

Downtime caused by hosting provider issues

Third-party service interruptions
8. Limitation of Liability
8.1 To the maximum extent permitted by Indian law, Netsetu shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Loss of profits, revenue, or data

Business interruption

Reputational harm
8.2 Netsetu's total liability shall not exceed the total fees paid by the Client in the 6 months preceding the claim.
8.3 Netsetu does not guarantee specific results, including:

Increased sales or revenue

Search engine rankings
-
Website traffic
-
Conversion rates
9. Disclaimer of Warranties
9.1 Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
9.2 Netsetu does not warrant that:

The website will be error-free, uninterrupted, or secure
-
Any errors will be corrected

The website will meet your specific requirements
10. Third-Party Services
10.1 Netsetu may integrate third-party services including but not limited to:

Payment gateways (Razorpay, etc.)

Delivery partners (Dunzo, etc.)
-
Domain registrars (GoDaddy, etc.)
-
Hosting providers (Wix, etc.)
10.2 Netsetu is not responsible for the terms, practices, or performance of any third-party service provider.
10.3 The Client agrees to abide by the terms and conditions of any third-party services used in connection with their website.
11. Refund & Cancellation Policy
11.1 Setup Fee: Non-refundable once work has commenced.
11.2 Monthly Fees: Non-refundable, even if the Client does not use the website during the billing period.
11.3 Domain Registration: Domain fees are non-refundable once registered.
11.4 Cancellation: Client may cancel monthly services with 30 days' written notice. Upon cancellation, Netsetu shall provide a website backup (chargeable at ₹1,000) if requested.
12. Termination
12.1 Either party may terminate the Service Agreement with 30 days' written notice.
12.2 Netsetu may terminate immediately if:

Payment is overdue by more than 30 days

Client breaches any material term of these Terms or the Service Agreement

Client engages in illegal activity using the website
12.3 Upon termination, Netsetu shall cease providing services. The Client may retain the website as delivered, but hosting and maintenance will cease.
13. Confidentiality
Both parties agree to keep confidential any proprietary information disclosed during the course of the business relationship, including but not limited to:

Business strategies and plans

Customer data
-
Pricing information
-
Technical specifications
This confidentiality obligation survives termination of this agreement.
14. Data Protection & Privacy
14.1 Netsetu complies with applicable Indian data protection laws, including the Information Technology Act, 2000.
14.2 Client is responsible for their own privacy policy and data collection practices on their website.
14.3 Netsetu shall not be liable for any data breach or privacy violation arising from the Client's failure to comply with applicable laws.

15. Indemnification
You agree to indemnify and hold Netsetu harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

Your breach of these Terms or the Service Agreement

Your violation of any law or third-party rights

Any content you provide that infringes on third-party intellectual property

Your use of the website
16. Force Majeure
Netsetu shall not be liable for any delay or failure to perform its obligations due to causes beyond its reasonable control, including but not limited to:

Natural disasters

War, terrorism, or civil unrest

Government actions or regulations

Internet or power outages

Hosting provider failures
